Rada Dyrektorów ASBISc Enterprises PLC ("Emitent", "Spółka") informuje, iż w dniu 14 maja 2013 roku do siedziby Spółki wpłynęło zawiadomienie w trybie art. 69 ustawy o ofercie publicznej od KS Holdings Ltd, o następującej treści:

Działając na podstawie art. 69 Ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych niniejszym informujemy o zmianie posiadanego udziału ponad 33% akcji ASBISc Enterprises Plc, o co najmniej 1%. Zmiana nastąpiła w wyniku transakcji sprzedaży 3.000.000 (trzech milionów) akcji w dniu 13 maja 2013 roku.

Przed wskazaną powyżej transakcją posiadaliśmy 25.676.361 akcji ASBISc Enterprises PLC o wartości nominalnej 0.20 USD każda, które uprawniały do 25.676.361 akcji na Walnym Zgromadzeniu Akcjonariuszy ASBISc Enterprises Plc, stanowiły 46,26% w kapitale zakładowym ASBISc Enterprises PLC oraz 46,26% w całkowitej liczbie głosów na Walnym Zgromadzeniu Akcjonariuszy tej spółki.

Po wskazanej powyżej transakcji posiadamy 22.676.361 akcji ASBISc Enterprises PLC o wartości nominalnej 0.20 USD każda, które uprawniają do 22.676.361 akcji na Walnym Zgromadzeniu Akcjonariuszy ASBISc Enterprises Plc, stanowią 40,86% w kapitale zakładowym ASBISc Enterprises PLC oraz 40,86% w całkowitej liczbie głosów na Walnym Zgromadzeniu Akcjonariuszy tej spółki.

Nie planujemy zmniejszać naszego udziału w ASBISc Enterprise PLC w ciągu 12 miesięcy od daty niniejszego zawiadomienia.

The Board of Directors of ASBISc Enterprises PLC („the Issuer”, „the Company”) informs that on May 14th, 2013 the Company received the following notification on the basis of art. 69 of Act on Public Offering from KS Holdings Ltd:

Acting on the basis of art. 69 of Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies dated July 29th 2005 KS Holdings Ltd hereby informs about change in the number of possesed shares of ASBISc Enterprises Plc, that was above 33% by at least 1%. The change resulted from transaction of sale of 3,000,000 (three milion) shares on May 13th, 2013.

Before the abovementioned transaction we held 25,676,361 shares of ASBISc Enterprises PLC of a nominal value 0,20 USD each, that were entitling to 25,676,361 votes at the General Meeting of Shareholders of ASBISc Enterprises Plc, that were equal to 46.26% in share capital of ASBISc Enterprises PLC and 46.26% in the total number of votes at its General Meeting of Shareholders.

After the abovementioned transaction we hold 22,676,361 shares of ASBISc Enterprises PLC of a nominal value 0,20 USD each, that entitle to 22,676,361 votes at the General Meeting of Shareholders of ASBISc Enterprises Plc, that were equal to 40.86% in share capital of ASBISc Enterprises PLC and 40.86% in the total number of votes at its General Meeting of Shareholders.

We do not plan to decrease our stake in ASBISc Enterprise PLC In the next 12 months from the date of this notification.
