Rada Dyrektorów ASBISc Enterprises Plc  („Spółka”) niniejszym informuje, iż  Zwyczajne Walne Zgromadzenie Akcjonariuszy, które odbyło się w dniu 08 maja 2019 roku wybrało ponownie w skład Rady Dyrektorów Pana Constantinos Tziamalis , Pana Tasos.A. Panteli oraz Pana Demos Demou.

Constantinos Tziamalis, urodzony w 1975 r., uzyskał tytuł licencjata na kierunku bankowość i usługi finansowe (1998 r.) oraz magistra na kierunku finanse (1999 r). na Uniwersytecie Leicester. Pan Tziamalis był zatrudniony w pionie bankowości prywatnej BNP Paribas na Cyprze, a następnie (przez okres 3 lat) w domu maklerskim Proteas Asset Management Limited na stanowisku Investor Accounts Manager. Pan Tziamalis dołączył do Spółki w styczniu 2002 r. jako Kierownik ds. projektów finansowych. W marcu 2003 r. objął stanowisko korporacyjnego kierownika ds. kontroli kredytów oraz relacji inwestorskich, a od dnia 23 kwietnia 2007 r. jest Dyrektorem ds. ryzyka i relacji inwestorskich. W styczniu 2010 r. został również powołany na stanowisko Kierownika Zespołu Zarządzania Ryzykiem Walutowym.

Zgodnie ze złożonym oświadczeniem, Pan Constantinos Tziamalis nie prowadzi działalności konkurencyjnej wobec Spółki, jak również nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu konkurencyjnej spółki kapitałowej lub członek organu jakiejkolwiek konkurencyjnej osoby prawnej.

Nie jest również wpisany do Rejestru Dłużników Niewypłacalnych.

Pan Tasos rozpoczął swoją karierę zawodową w 2001 roku pracując dla Nicos Chr. Anastasiades & Partners (Advocates – Legal Consultants) jako Adwokat. Od 2005 roku pracuje dla Andreas M. Sofocleous & Co LLC (Advocates – Legal Consultants) jako Adwokat ( od 2010 roku jako Adwokat – Partner).

W 1999 roku uzyskał tytuł Licencjata Prawa na Uniwersytecie Queen Mary and Westfield, a w 2000 roku otrzymał dyplom ukończenia studiów podyplomowych w zakresie prawa na Uniwersytecie Miejskim miasta Londyn, Inns of Court School of Law. W tym samym roku ukończył kurs adwokacki na Uniwersytecie Miejskim miasta Londyn, Inns of Court School of Law i został wpisany na listę adwokatów. W 2001 roku uzyskał tytuł magistra prawa na Uniwersytecie King’s College London. W 2002 roku został przyjęty do Cypryjskiej Izby Adwokackiej.

Jest członkiem zarządu cypryjskiej Spółki Hydrocarbons (CHC) Ltd, członkiem Cypryjskiej Izby Adwokackiej oraz członkiem Honorowego Towarzystwa Lincolna Inn.

Zgodnie ze złożonym oświadczeniem Pan Tasos.A. Panteli nie prowadzi działalności konkurencyjnej wobec Spółki, jak również nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu konkurencyjnej spółki kapitałowej lub członek organu jakiejkolwiek konkurencyjnej osoby prawnej.

Nie jest również wpisany do Rejestru Dłużników Niewypłacalnych.

Pan Demos Demou dołączył do Grupy w 2015 roku. Urodził się w 1969 roku. W swojej karierze zawodowej zajmował szereg stanowisk menedżerskich, głównie w branży bankowej i branży transportu morskiego. Aktualnie jest dyrektorem zarządzającym Fidelius Management Services Ltd. W przeszłości pracował dla szeregu firm, w tym dla Limassol Cooperative Savings Bank Ltd gdzie zajmował stanowisko Financial Manager przez pięć lat, V.Ships Ltd, Comarine Ltd, Oesterreichischer Lloyd Ship Management (Cyprus) Ltd, Acomarit (Cyprus) Ltd, Blasco Ship Management (Cyprus) Ltd, Unicom Management Services Ltd oraz Nikos Karantokis Holdings.
Jest członkiem Institute of Certified Public Accountants of Cyprus od 1995 roku, członkiem Association of Chartered Certified Accountants of United Kingdom, członkiem Society of Trust and Estate Practitioners oraz absolwentem International Management Development Institute / University of Pittsburgh.

Zgodnie ze złożonym oświadczeniem Pan Demos Demou nie prowadzi działalności konkurencyjnej wobec Spółki, jak również nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu konkurencyjnej spółki kapitałowej lub członek organu jakiejkolwiek konkurencyjnej osoby prawnej.

Message:

The Board of Directors of ASBISc Enterprises Plc ("the Company") hereby announces that the Annual General Meeting of Shareholders, that was held on May 8th, 2019 reelected Mr  Constantinos Tziamalis, Mr Tasos.A. Panteli and Mr Demos Demou to the Board of Directors.

Constantinos Tziamalis, born in 1975, holds a B.Sc. in Banking and Financial Services (1998) and a Masters (M.Sc.) in Finance (1999) from the University of Leicester. Constantinos Tziamalis worked at the private banking department of BNP Paribas in Cyprus and then joined a brokerage house, Proteas Asset Management Limited, for 3 years as Investor Accounts Manager. Constantinos joined the Company in January 2002 as Financial Project Manager. He was promoted to his current position as Corporate Credit Controller & Investor Relations in March 2003 and became Director of Risk and Investor Relations as of 23 April 2007. In January 2010 Constantinos has been also appointed as head of the FX Risk Management team.

According to the submitted statement, Mr Constantinos Tziamalis does not run any other business competitive to the Company; he is not involved in any activities of a competitive company as a partner of a civil partnership, limited partnership or as a board member of a joint-stock company, and is not engaged in any competitive legal entity as its board member.

Mr Tasos started his professional career at Nicos Chr. Anastasiades & Partners (Advocates – Legal Consultants), holding the position of Advocate in 2001. Since 2005, Mr Tasos has been working at Andreas M. Sofocleous & Co LLC (Advocates – Legal Consultants) as Advocate ( Advocate - Partner since 2010).

He received a Bachelor of Laws (LLB) from the Queen Mary and Westfield College (1999), a Postgraduate Diploma in Legal Skills from the City University London, Inns of Court School of Law (2000). In the same year, he completed the Bar Vocational Course at the City University London, Inns of Court School of Law and was Called to the Bar. In 2001 he received a Master of Laws (LLM) from the King’s College London. In 2002 he was admitted to the Cyprus Bar Association.

He is a member of the Board of Directors of Cyprus Hydrocarbons Company (CHC) Ltd, a member of the Cyprus Bar Association and a member of the Honourable Society of Lincoln’s Inn (Barrister at Law).

According to the submitted statement, Mr Tasos.A. Panteli does not run any other business competitive to the Company; he is not involved in any activities of a competitive company as a partner of a civil partnership, limited partnership or as a board member of a joint-stock company, and is not engaged in any competitive legal entity as its board member.

Mr. Demos Demou joined the Group in 2015. He was born in 1969. His career includes a number of managerial positions, mainly in the Shipping and Banking Industry. Currently he is the managing director of Fidelius Management Services Ltd. In the past he was working for a number of companies including the Limassol Cooperative Savings Bank Ltd where he held the position of the Financial Manager for 5 years, V.Ships Ltd, Comarine Ltd, Oesterreichischer Lloyd Ship Management (Cyprus) Ltd, Acomarit (Cyprus) Ltd, Blasco Ship Management (Cyprus) Ltd, Unicom Management Services Ltd and Nikos Karantokis Holdings. He is a member of the Institute of Certified Public Accountants of Cyprus since 1995, a fellow member of the Association of Chartered Certified Accountants of United Kingdom, a member of the Society of Trust and Estate Practitioners and a graduate of the International Management Development Institute / University of Pittsburgh.
